Licensing Agreement
Please Read the following terms and conditions before
downloading any files from Thanksgiving Backgrounds. Your acceptance of
these terms is an absolute condition of your use of any
Thanksgiving Backgrounds products.
1. Usage
The downloadable files contained on this site or included
on the CD-ROM are for use in any electronic or print media,
including advertising and editorial use, and consumer
merchandise. You may modify or alter the image(s) as necessary
for your use provided that the rights to any derivative work
shall belong to Thanksgiving Backgrounds. You may, in the normal course
of workflow, convey to a third party (such as a printer)
temporary copies of the images that make up an integral part of
your work product. The downloadable content & CD-ROM are
licensed for a single user only and are non-transferable.
2.
Use of Materials Provided.
The copyright laws of the U.S. and other countries
protect all of the material on the Thanksgiving Backgrounds site. You are
only allowed to use these materials as indicated in these terms
& conditions. Other uses are prohibited by copyright laws. No
material contained on the Thanksgiving Backgrounds website or CD-ROM
(Backgrounds, Frames, Titles, Designer Sets, Worship Photos,
Sermon Outlines Slide Shows or Stock Photos)
may be copied, reproduced, retransmitted, distributed,
commercially exploited or otherwise transferred in any
copyrighted material in any format, electronic or otherwise.
3.
Use of Materials for Print
Every effort has been
made to ensure accurate reproduction when printing. However, due
to variables beyond Thanksgiving Backgrounds' control, Thanksgiving Backgrounds
will have no liability for inaccurate or unsatisfactory
reproduction of images purchased and/or downloaded from their
site. If the intended usage of any images purchased from
Thanksgiving Backgrounds is for printing on a sheet fed, digital, web
press or any other output device, ensure that:
a) All images are converted to CMYK color mode
b) All images are color corrected to your satisfaction
c) All images are color corrected according to recommendations
of the press or output device's manufacturer

What Do I Do If You Think There May Be a Copyright Infringement?
If you believe that
your material or the material of another has been wrongfully
used, please contact us at
. In order for us to investigate and
address your complaint, please provide us with all information
regarding the materials in question.
5. Emails to
Members
As a client, we will
keep you informed of major updates or revisions to the site by
email. All Thanksgiving Backgrounds emails, including newsletters and
announcements, will contain information on how to unsubscribe
from that email list. In the event that you receive an email
that you believe is unsolicited, please follow the instructions
contained in the email for letting us know and we will make
every effort to have your email address removed from future
mailings.
6. You Agree
To Indemnify Thanksgiving Backgrounds for Any Claims Resulting From Your
Violation of These Terms and Conditions.
YOU AGREE TO INDEMNIFY
AND HOLD Thanksgiving Backgrounds, ITS PARENTS, SUBSIDIARIES, AFFILIATES,
OFFICERS, AGENTS, CO-BRANDERS, LICENSORS AND ANY OTHER PARTNERS
AND EMPLOYEES HARMLESS FROM ANY AND ALL LOSSES, EXPENSES,
DAMAGES OR COSTS, INCLUDING REASONABLE ATTORNEYS FEES, RESULTING
FROM ANY VIOLATION OF THESE TERMS AND CONDITIONS, YOUR USE OF
THE Thanksgiving Backgrounds SERVICE, AND THE CONDUCT OF ANOTHER
ACCESSING THE Thanksgiving Backgrounds MATERIALS.
7.
Warranties.
Thanksgiving Backgrounds
EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES OF ANY KIND, WHETHER
EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE
AND NON-INFRINGEMENT.
8. Limited
Liability.
YOU EXPRESSLY
ACKNOWLEDGE AND AGREE THAT Thanksgiving Backgrounds WILL HAVE NO
LIABILITY FOR SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL
DAMAGES OF ANY KIND IN CONNECTION WITH YOUR USE OF THE PROSTOCK
PHOTOS SITE, EVEN IF YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF
SUCH DAMAGES.
9.
Thanksgiving Backgrounds may Amend These Terms and Conditions At Any Time.
You agree that
Thanksgiving Backgrounds reserves the right to amend these Terms and
Conditions at any time, for any reason, and without notice,
including the right to terminate Thanksgiving Backgrounds services or any
part of the services.
10.
This is The Entire Agreement Between You and Thanksgiving Backgrounds.
These Terms and
Conditions constitute the entire agreement between you and
Thanksgiving Backgrounds and govern your use of the Thanksgiving Backgrounds Site
and services. This agreement supersedes any prior agreements
between you and Thanksgiving Backgrounds. The failure of Thanksgiving Backgrounds
to enforce any right or provision of this agreement does not
constitute a waiver of the right or provision. If any portion of
this agreement is deemed to be invalid, the other portions of
the agreement will remain in full force and effect.
